These Terms of Service govern your use of the Pixabits communication platform operated by Biocipher Technologies (CIN pending), a company registered in India. By using our platform, you agree to these terms in full.
By accessing or using the Pixabits platform, APIs, SDKs, dashboards, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
To use the Service, you must create an account by providing accurate, complete, and current information including your business name, GSTIN (where applicable), authorized contact details, and valid email address. You are responsible for maintaining the confidentiality of your account credentials, including API keys and access tokens. You must immediately notify Pixabits of any unauthorized use of your account. Pixabits reserves the right to suspend or terminate accounts that provide false or misleading information.
Access to Pixabits APIs is governed by your subscription plan. Each plan specifies rate limits, throughput caps, and channel-specific quotas. You agree not to exceed your plan's limits without prior arrangement. API keys are confidential and must not be shared, published, or embedded in client-side code. Pixabits reserves the right to throttle or suspend API access for accounts that repeatedly exceed their limits or engage in abusive consumption patterns. All API usage is logged and subject to audit.
You agree not to use the Service to: (a) send unsolicited messages (spam) or messages without valid opt-in consent; (b) transmit content that is illegal, harmful, threatening, defamatory, or obscene; (c) impersonate any person or entity; (d) interfere with or disrupt the Service infrastructure; (e) attempt to gain unauthorized access to other accounts or systems; (f) use the Service for phishing, fraud, or social engineering; (g) violate any applicable local, state, national, or international law. Violations may result in immediate suspension without notice.
For messaging services in India, you must comply with Telecom Regulatory Authority of India (TRAI) regulations and the Distributed Ledger Technology (DLT) framework. This includes: (a) registering as a Principal Entity on an authorized DLT platform; (b) registering all sender headers (entity IDs) used for messaging; (c) registering all message templates and obtaining approval before use; (d) maintaining valid consent records (explicit opt-in) for all recipients; (e) honoring preference settings registered by subscribers on the NCPR/DND registry. Pixabits will reject messages that fail DLT validation. You are solely responsible for maintaining your DLT registrations and ensuring all content complies with TRAI guidelines.
Pixabits operates on a prepaid credit system. Credits must be purchased before sending messages or making API calls. Credit rates vary by channel, destination, and message type as specified in our published pricing. All prices are quoted in Indian Rupees (INR) and are exclusive of applicable GST (18%). Credits are non-refundable except where required by law. Invoices are generated monthly and include GST-compliant details. Payment can be made via Razorpay, UPI, net banking, or wire transfer. Accounts with zero balance will have API access suspended until recharged.
Pixabits processes personal data in accordance with its Privacy Policy and applicable data protection laws including the Information Technology Act 2000 and the Digital Personal Data Protection Act 2023. You warrant that you have obtained all necessary consents to share personal data (such as phone numbers and email addresses) with Pixabits for the purpose of message delivery. Pixabits acts as a data processor on your behalf and will not use recipient data for any purpose other than providing the Service. Message content is encrypted in transit (TLS 1.3) and at rest (AES-256).
Pixabits commits to 99.9% monthly platform uptime, measured across all production API endpoints. Scheduled maintenance windows are excluded from uptime calculations and will be announced at least 48 hours in advance. If uptime falls below 99.9% in any calendar month, affected customers are eligible for service credits as follows: 99.0%–99.9% = 10% credit; 95.0%–99.0% = 25% credit; below 95.0% = 50% credit. Credits must be claimed within 30 days and are applied to the next billing cycle. This SLA does not apply to free-tier accounts.
To the maximum extent permitted by law, Pixabits (and its parent company Biocipher Technologies, its directors, employees, and affiliates) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with the Service. Pixabits' total aggregate liability for any claims arising from these Terms shall not exceed the total amount paid by you to Pixabits in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability.
Either party may terminate this agreement at any time by providing 30 days' written notice. Pixabits may immediately suspend or terminate your account without notice if: (a) you breach these Terms; (b) your usage poses a security risk to the platform; (c) you fail to pay outstanding invoices within 15 days of the due date; (d) you are subject to regulatory action that affects your ability to use the Service. Upon termination, your API access will be revoked, and any remaining credits will be forfeited unless a refund is required by applicable law. Sections relating to liability, indemnification, and governing law survive termination.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in New Delhi, India. Before initiating any legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.
